DEL DESACUERDO ALACUERDO: LA MAGIA DELOS DISTUTE BOARDS

Los sectores de infraestructura y construcción tienen una dinámicaen constante cambio y con complejidad inherente, y han navegadohistóricamente a través de diversos mecanismos para resolverdisputas contractuales. Desde litigios formales hasta procesosalternativos como la mediación y el arbitraje, la búsqueda deeficiencia y justicia ha sido una constante. Sin embargo, laincorporación de los Dispute Boards (DBs) ha marcado un hito enla gestión de conflictos.

En la década de 1950, EE. UU. identificó una intensa competenciaen la construcción pública, reduciendo márgenes de ganancia paralos contratistas y enfrentándolos a demandas no técnicas comoregulaciones medioambientales y presiones de grupos públicos.Con obstáculos reglamentarios dificultando la resolución dedisputas, surgieron más litigios. Aunque el arbitraje se presentócomo una solución más rápida y menos costosa, eventualmentecompartió las desventajas del litigio tradicional. Esta situación llevóa la exploración de métodos alternativos de resolución, culminandoen el desarrollo y adopción del concepto del Dispute Board. [1]

Hoy en día, los desafíos en el ámbito de la infraestructura yconstrucción son vastos y polifacéticos. La posibilidad de disputases alta, pero ¿qué podemos hacer al respecto? ¿Cómo podríamosprevenir, gestionar y resolver estos conflictos de manera eficientey efectiva? Definitivamente, la prevención es una solucion clave ypara esto, una alternativa es aprovechar de mejor manera losDispute Boards (DBs).

Un Dispute Board es un panel de resolución de disputascompuesto por un profesional o un grupo de profesionales,habitualmente tres. El DB puede estar de forma permanentedurante el desarrollo del proyecto (standing) o constituirse pararesolver una disputa específica (ad hoc).

El Dispute Board típicamente resuelve una disputa emitiendo unadecisión vinculante para las Partes. Esta decisión debe sercumplida aún cuando una Parte no estuviera conforme, lo quegarantiza una solución a la Partes y ayuda a la continuidad delproyecto. El objetivo es que el proyecto no se detenga mientras lasPartes resuelven la disputa, aunque la decisión del DB podría sermodificada en instancias superiores de resolución de disputas,como en arbitraje o justicia ordinaria.

Sin embargo, la función principal de los DBs es la prevención. Esfundamental trabajar en conjunto con los equipos del proyecto demanera proactiva para identificar y abordar problemas antes deque se conviertan en disputas graves. Esta interacción constante, através de visitas presenciales, reuniones virtuales y tecnologíasmodernas como drones, garantiza que los miembros del DB esténsiempre al día con los avances y desafíos del proyecto y sean parte
activa en su ejecución.

¿Por qué la adopción de DBs transforma fundamentalmente ladinámica de un proyecto y aporta múltiples beneficios? En primerlugar, se logra una reducción de disputas, identificando posiblesproblemas y resolviéndolos antes de que se conviertan endisputas. Segundo, se pueden optimizar los costos al resolverdisputas de forma rápida (típicamente en menos de 90 días) y enetapas tempranas, antes de que escalen y aumenten en monto ycomplejidad.

Tercero, los DBs actúan como una entidad neutral, proporcionandoun nivel de transparencia esencial para mantener la confianzaentre las partes involucradas en el proyecto. Y finalmente, alcentrarse en la prevención y resolución de conflictos, los DBspermiten que las partes trabajen juntas de manera más armoniosa,fortaleciendo las relaciones y promoviendo un ambiente de trabajocolaborativo. En resumen, los DBs protegen la
confianza entre laspartes en los proyectos, un concepto del que poco se habla, peroque es fundamental en el éxito de un proyecto de infraestructura. Sirviendo como un pilar de prevención, los DBs impulsansoluciones que priorizan el bienestar del proyecto, optimizandocostos y tiempos. Y en casos donde emergen conflictos, elmecanismo de audiencia de los DBs proporciona un entornoestructurado y neutral, facilitando resoluciones ágiles ytécnicamente viables.

Esta rapidez posibilita que los equipos de gestión se enfoquen enlograr los mejores resultados para el proyecto, siempre respetandola esencia contractual y la distribución de riesgos, al seguirrigurosamente las cláusulas establecidas y las necesidades delproyecto, inclusive por encima de la de las partes.

Más allá de estas ventajas, los DBs se destacan por brindar unproceso de resolución de conflictos con integridad y justicia, y enbeneficio del proyecto. Sustentados en evidencias concretas,documentación pertinente y el marco legal vigente, lasresoluciones de los DBs son generalmente meticulosas yfundamentadas, emanando del conocimiento de expertosautónomos que tienen un entendimiento cabal del proyecto, susinvolucrados y las particularidades del conflicto. Este enfoque,basado en la excelencia, garantiza a propietarios y contratistas unproceso en el cual pueden confiar plenamente.

Sabemos que los Dispute Boards (DBs) han transformado ladinámica de la resolución de conflictos en la industria de laconstrucción e infraestructura. Su evolución, desde sus raíceshasta su forma actual, demuestra su adaptabilidad y eficacia.
